Getinge has acquired 100 % of ALM,
situated at Orléans France. ALM designs and manufactures
equipment for operating rooms, intensive care units, emergency
rooms and recovery rooms. The equipment includes surgical lights,
operating tables and ceiling service units.
Expansion
The acquisition is in line with previously communicated
strategy that Getinge is going to take an active part in the
consolidation of the global market for surgical systems
equipment. This market is estimated to amount to 8 billion SEK.
Getinge will through the acquisition of ALM hold a market share
of 40% in surgical tables, 20% in surgical lights and appr. 5-10%
of ceiling service units.
ALM with headquarters and final
assembly facility at Ardon near Orléans has sales of 490 million
FRF and employs appr. 300 persons
ALM’s global market share for surgical lights amounts to
20%, the surgical tables market share is 7 – 8% and the
market share for for ceiling service units is 5 – 10 %.
ALM has own sales companies in UK,
US, France, Italy, Spain and China and operates elsewhere through
a network of distributors and agents in more that 50 countries.
Integration and synergies
ALM will form the group’s center of excellence for
principally surgical lighting equipment and ceiling service
units, within the newly established business area Surgical
Systems. Significant synergies are expected in the field of
sales and marketing. ALM’s world leading lighting products
will be distributed through the existing sales channels of
recently aquired Maquet.
"Through the acquisition
of ALM, Getinge is adding a world class company to its surgical
systems dominion", says CEO Johan Malmquist.
"ALM’s lighting products are recognised as industry
standard and the combination of ALM, Maquet and Getinge will
constitute the world’s biggest player in the field of
surgical workplaces with sales of 2 billion SEK".
The acquisition is expected to
have a positive impact on Getinge’s earnings per share
during 2001.
Financing the acquisition
The acquisition of ALM will together with the recent
acquisition of Maquet be financed by external loans and by a new
share issue.
